PROVIDER PLATFORM LEASE & INDEPENDENT CONTRACTOR AGREEMENT

1. Purpose

This Agreement establishes the relationship between Your-Self Holistic Center ("Company") and the Independent Provider ("Provider") regarding the Provider's use of YourSelfHolisticCenter.com.

The parties acknowledge that the Provider is leasing access to the Company's digital platform, resources, scheduling system, client management system, and provider portal in order to independently operate their professional practice while offering services through the Company's platform.

Nothing in this Agreement shall be interpreted as creating an employer-employee relationship, partnership, joint venture, or agency relationship.

2. Independent Contractor Status

The Provider understands and agrees that they are:

• An independent contractor.
• Not an employee of Your-Self Holistic Center.
• Not entitled to employee wages, benefits, paid leave, retirement, unemployment insurance, or workers' compensation through the Company.
• Responsible for all federal, state, and local taxes.
• Responsible for maintaining all required professional licenses, certifications, registrations, and liability insurance.
• Solely responsible for the professional services they provide to their clients.

The Provider retains control over how services are professionally delivered while agreeing to comply with the Company's Platform Policies, Standards of Practice, and Client Experience Guidelines.

3. Platform Lease

The Company grants the Provider a non-exclusive, revocable license to use YourSelfHolisticCenter.com, including, when applicable:

• Provider Dashboard
• Client Portal
• Secure Messaging
• Appointment Scheduling
• Video Session Rooms
• Client Documentation
• Forms and Assessments
• Educational Resources
• Practice Management Tools
• Progress Tracking
• Academy Resources (if authorized)
• I AM Yoga Nidra Resources (if authorized)
• Step into the Spiral Resources (if authorized)
• Becoming Lived Resources (if authorized)

This Agreement provides a license to use the platform only. Ownership of the platform and all associated intellectual property remains exclusively with Your-Self Holistic Center.

4. Monthly Platform Lease

The Provider agrees to lease access to the platform through a monthly Provider Membership based upon the services and permissions granted.

Failure to maintain current payments may result in suspension or termination of platform access.

5. Provider Responsibilities

The Provider is solely responsible for:

• Managing their calendar.
• Scheduling appointments.
• Confirming appointments.
• Canceling or rescheduling appointments.
• Client communications.
• Collecting informed consent.
• Billing clients.
• Collecting payments.
• Maintaining financial records.
• Paying all applicable taxes.
• Maintaining professional liability insurance.
• Maintaining required certifications and licenses.
• Completing accurate documentation.
• Following all applicable laws governing their profession.
• Maintaining client confidentiality.
• Providing services within their professional scope of practice.

The Company does not supervise or direct the Provider's professional judgment.

6. Company Responsibilities

Your-Self Holistic Center agrees to provide:

• Access to YourSelfHolisticCenter.com.
• Secure Provider Dashboard.
• Secure Client Portals.
• Platform maintenance and updates.
• Educational materials.
• Digital resources.
• Appointment management tools.
• Technical support for the platform.
• Security updates.
• Administrative improvements.
• Branding and marketing of the platform as appropriate.

The Company provides technology and business infrastructure and is not responsible for supervising the Provider's professional services.

7. Standardized Pricing Policy

To provide a consistent client experience across YourSelfHolisticCenter.com, all Providers agree to charge the Company's current published pricing for services offered through the platform.

Providers may not independently discount, increase, bundle, or otherwise alter pricing for services offered through the platform without prior written approval from the Company.

Standardized pricing applies to all approved services, including but not limited to:

• Step into the Spiral of Becoming Programs
• Becoming Lived Memberships
• I AM Yoga Nidra Services
• Academy Programs
• Workshops
• Courses
• Approved Add-On Services

The Company reserves the right to update pricing. Providers will receive reasonable notice before pricing changes become effective.

8. Provider Billing

Although pricing is standardized across the platform, each Provider operates an independent business.

Each Provider is solely responsible for:

• Sending invoices.
• Collecting payment.
• Payment processing.
• Refunds.
• Payment plans.
• Outstanding balances.
• Accounting.
• Taxes.
• Financial reporting.

The Company does not guarantee payment for services and is not responsible for unpaid client accounts.

9. Client Relationships

Clients receiving services through the platform establish a professional relationship directly with the Provider.

The Company owns and operates the technology platform, educational systems, curriculum, branding, and business infrastructure.

Providers may not represent themselves as employees, agents, or legal representatives of Your-Self Holistic Center.

10. Intellectual Property

All intellectual property remains the exclusive property of Your-Self Holistic Center, including but not limited to:

• Spiral Framework
• Training Programs
• Curriculum
• Videos
• Worksheets
• Assessments
• Workbooks
• Instructor Scripts
• Session Materials
• Logos
• Branding
• Website Content
• Educational Resources
• Digital Downloads
• Client Forms
• Practice Tools

Providers receive only a limited, non-transferable license to use these materials while actively participating on the platform.

11. Confidentiality

The Provider agrees to maintain the confidentiality of:

• Client information.
• Business information.
• Financial information.
• Platform operations.
• Educational materials.
• Internal documents.
• Passwords and security credentials.
• Proprietary methods.

Confidentiality obligations continue after termination of this Agreement.

12. Professional Standards

Providers agree to:

• Practice ethically.
• Maintain professional boundaries.
• Respect client confidentiality.
• Maintain professional competency.
• Follow applicable laws and regulations.
• Represent the Company professionally.
• Provide services only within their scope of practice.

13. Insurance

The Provider shall maintain professional liability insurance and any other insurance required by law or their licensing board throughout the duration of this Agreement.

Proof of insurance may be requested by the Company.

14. Taxes

The Provider acknowledges they are solely responsible for:

• Federal income taxes.
• State income taxes.
• Self-employment taxes.
• Business registrations.
• Licenses.
• Accounting and bookkeeping.

The Company will not withhold taxes or provide employee tax documents.

15. Termination

Either party may terminate this Agreement with thirty (30) days written notice.

Immediate termination may occur for:

• Ethical violations.
• Professional misconduct.
• Failure to maintain licensure.
• Failure to maintain insurance.
• Misuse of Company intellectual property.
• Unauthorized pricing changes.
• Violation of platform policies.
• Non-payment of platform lease fees.
• Illegal conduct.

Upon termination, all access to YourSelfHolisticCenter.com will immediately cease.

16. Entire Agreement

This Agreement constitutes the complete understanding between the parties and supersedes all prior verbal or written agreements relating to the Provider's participation on the platform.
